Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and VastuSetu PropTech Pvt Ltd, a company incorporated under the Companies Act, 2013 and registered in Maharashtra, India ("VastuSetu", "Company", "we", "us", or "our"), governing your access to and use of the website vastusetu.in, associated mobile applications, and all related services (collectively, the "Platform").
By accessing, browsing, registering on, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies referenced herein. If you do not agree to these Terms, you must not access or use the Platform.

These Terms are published in accordance with the provisions of the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and other applicable Indian laws, and constitute an electronic record that does not require any physical or digital signature.

• "Buyer" means a User seeking to purchase, rent, or lease immovable property listed on the Platform.
• "Seller" means a User listing immovable property for sale, rent, or lease on the Platform.
• "Broker" means a real estate agent or intermediary registered under applicable RERA regulations who uses the Platform to facilitate transactions.
• "Builder"means a developer or promoter, as defined under the Real Estate (Regulation and Development) Act, 2016 ("RERA"), who lists projects on the Platform.
• "Banker" means a representative of a financial institution or lending partner integrated with the Platform for property financing services.
• "Listing" means any property, project, or unit information submitted to the Platform by a Seller, Broker, or Builder.
• "Verification Services" means the Builder Trust Score™, Property Risk Score™, Vastu Compliance Indicator™, and IGR+MahaRERA dual verification features offered on the Platform.
• "Subscription" means a paid plan purchased by a User to access specific tiers of Platform features, as described in Section 6.

3.1 Eligibility

You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872, to register on or use the Platform. By creating an account, you represent and warrant that all information provided is accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials, including OTP-based authentication and device-bound session tokens. You agree to notify VastuSetu immediately of any unauthorized use of your account. VastuSetu is not liable for any loss arising from your failure to safeguard your credentials.

3.3 One Account Per User

Each User may maintain only one active account per user category (Buyer, Seller, Broker, Builder, or Banker), unless otherwise permitted in writing by VastuSetu. Multiple or fraudulent accounts may be suspended without notice.

VastuSetu operates a technology-enabled real estate marketplace that connects Buyers, Sellers, Brokers, Builders, and Bankers, and layers government-sourced verification and AI-driven analytics on top of property listings. Core features include:

• Property discovery, search, and comparison tools across residential, commercial, and land categories.
• Builder Trust Score™ — a composite indicator reflecting a builder's historical project delivery, regulatory compliance, and litigation record.
• Property Risk Score™ — an AI-generated risk indicator based on title, encumbrance, and regulatory data points.
• Vastu Compliance Indicator™ — an informational assessment of a property's alignment with traditional Vastu Shastra principles.
• IGR+MahaRERA Dual Verification — cross-referencing of listing data against the Maharashtra Inspector General of Registration (IGR) and Maharashtra Real Estate Regulatory Authority (MahaRERA) public databases.
• DigiLocker-based document verification and Video Verification of properties and identities.
• Investment Analytics tools providing indicative valuation and return projections.

They do not constitute legal, financial, or investment advice, and do not guarantee the accuracy, marketability, or legal title of any property. Users must independently verify all property and legal details, including through qualified legal counsel, before entering into any transaction.

5.1 Buyers and Sellers

Buyers may browse Listings, contact Sellers or Brokers, and use Platform tools to evaluate properties. Sellers are solely responsible for the accuracy, legality, and completeness of their Listings, including ownership title, RERA registration (where applicable), and statutory approvals.

5.2 Brokers

Brokers must hold a valid registration under the applicable state RERA framework where required and must disclose their registration number on the Platform. VastuSetu reserves the right to verify and suspend Broker accounts found to be operating without valid registration.

5.3 Builders

Builders listing under-construction or new projects must comply with RERA disclosure requirements, including registration numbers, project timelines, and sanctioned plans. Misrepresentation of project status or approvals is strictly prohibited and may result in immediate delisting.

5.4 Bankers and Financial Partners

Banker accounts are provided to representatives of empanelled financial institutions solely for facilitating property financing referrals and are subject to separate partnership agreements in addition to these Terms.

5.5 Prohibited Conduct

• Posting false, misleading, duplicate, or unauthorized property Listings.
• Circumventing the Platform to avoid applicable fees or to solicit off-platform transactions in bad faith.
• Uploading content that infringes intellectual property, privacy, or statutory rights of any third party.
• Using automated means (bots, scrapers) to extract data from the Platform without written consent.
• Attempting to reverse-engineer, probe, or interfere with the security of the Platform or its APIs.
• Uploading fraudulent documents for DigiLocker or Video Verification purposes.

6.1 Subscription Plans

VastuSetu offers tiered Subscription plans across the Buyer, Seller, Broker, Builder, and Banker segments, each with defined feature access, usage limits, and validity periods, as published on the Platform's pricing page from time to time.

6.2 Payment Processing

All payments are processed through Razorpay or other empanelled, PCI-DSS compliant payment gateways. VastuSetu does not store your card or banking credentials. All applicable taxes, including Goods and Services Tax (GST), are charged in addition to the listed Subscription price.

6.3 Renewals and Refunds

Subscriptions may auto-renew unless cancelled prior to the renewal date, as indicated at the time of purchase. Except where required by law or expressly stated in a plan's terms, fees are non-refundable once a Subscription has commenced or a paid feature has been availed.

6.4 Reward Programs

Any referral credits, loyalty points, or rewards issued through the Platform's reward program are subject to separate terms, may expire, and hold no cash value except as expressly permitted by VastuSetu.

All content on the Platform, including but not limited to the VastuSetu name, logo, "Builder Trust Score™", "Property Risk Score™", "Vastu Compliance Indicator™", software, design elements, and underlying algorithms, is the exclusive property of VastuSetu PropTech Pvt Ltd or its licensors and is protected under the Trade Marks Act, 1999, the Copyright Act, 1957, and other applicable intellectual property laws.

Users retain ownership of content they upload (such as property photographs and descriptions) but grant VastuSetu a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute such content for the purpose of operating and promoting the Platform.

The Platform integrates data from third-party and government sources, including MahaRERA, IGR Maharashtra, DigiLocker, and mapping services. VastuSetu does not control and is not responsible for the accuracy, availability, or timeliness of data sourced from these third parties, and any discontinuation or modification of such third-party services may affect corresponding Platform features.

VastuSetu processes personal data in accordance with its Privacy Policy and the Digital Personal Data Protection Act, 2023 ("DPDP Act"). By using the Platform, you consent to the collection, processing, and storage of your personal data as described in the Privacy Policy, including data shared for identity verification, KYC, and payment processing purposes.

To the maximum extent permitted by applicable law, VastuSetu shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to loss of profits, loss of data, or losses arising from reliance on Verification Services, property Listings, or third-party data.

VastuSetu's aggregate liability arising out of or relating to these Terms or the Platform shall not exceed the amount, if any, paid by you to VastuSetu for the Subscription giving rise to the claim in the twelve (12) months preceding the event.

You agree to indemnify and hold harmless VastuSetu PropTech Pvt Ltd, its directors, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your Listings or content, or your violation of any applicable law or third-party right.

These Terms remain in effect for as long as you use the Platform. VastuSetu reserves the right to suspend or terminate any account, with or without notice, in cases of suspected fraud, breach of these Terms, non-payment of fees, or conduct that may harm the Platform, other Users, or third parties. You may deactivate your account at any time through the account settings or by contacting support.

These Terms shall be governed by and construed in accordance with the laws of India. Subject to Section 13.2, the courts at Chatrapati Sambhaji Nagar, Maharashtra shall have exclusive jurisdiction over any disputes arising from these Terms.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be referred to good-faith negotiation, and failing resolution within thirty (30) days, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, seated in Chatrapati Sambhaji Nagar, Maharashtra, conducted in the English language, before a sole arbitrator appointed by mutual agreement of the parties.

VastuSetu may revise these Terms from time to time to reflect changes in law, regulatory requirements, or Platform features. Material changes will be notified via the Platform or registered email at least fifteen (15) days before taking effect. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.

16.1 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.2 Force Majeure

VastuSetu shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, government action, or failure of third-party infrastructure or government data sources.

16.3 Entire Agreement

These Terms, together with the Privacy Policy and any Subscription-specific terms, constitute the entire agreement between you and VastuSetu regarding the Platform and supersede all prior agreements or understandings.

16.4 Assignment

You may not assign or transfer your rights under these Terms without VastuSetu's prior written consent. VastuSetu may assign these Terms in connection with a merger, acquisition, or sale of assets.
